DigitizeeCloud operates on a subscription-based model. By subscribing to our Services, you agree to the following:

  • Billing Cycle: Subscriptions are billed on a recurring monthly or annual basis, depending on your selected plan
  • Payment Processing: All payments are processed securely through Paddle, our authorized payment processor
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date
  • Price Changes: We may change our pricing with at least 30 days' notice. Continued use after price changes constitutes acceptance
  • Taxes: You are responsible for any applicable taxes, which may be added to your subscription fee

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access to paid features until the end of your current billing period
  • Your subscription will not renew for the next billing cycle
  • No refunds will be provided for partial billing periods, except as outlined in our Refund Policy

6. Acceptable Use Policy

You agree to use DigitizeeCloud only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights

  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our Services
  • Use automated systems (bots, scrapers) to access our Services without permission
  • Reverse engineer, decompile, or attempt to extract source code from our platform
  • Resell, redistribute, or sublicense our Services without authorization
  • Use our Services to send spam, phishing attempts, or malicious content

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

7. Intellectual Property Rights

All content, features, and functionality of DigitizeeCloud, including but not limited to software, text, graphics, logos, and trademarks, are owned by Digitize Agency LLC and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use our Services for your internal business purposes. This license does not include any rights to:

  • Modify, copy, or create derivative works of our software
  • Distribute, sell, or sublicense our Services
  • Remove or alter any proprietary notices or labels

You retain all rights to the data and content you upload to our platform. By using our Services, you grant us a license to host, store, and process your content solely to provide our Services.

8. Data Ownership and Privacy

You retain ownership of all data you submit to DigitizeeCloud. We will not sell, share, or use your data for purposes other than providing our Services, except as described in our Privacy Policy.

We implement industry-standard security measures to protect your data. However, you acknowledge that no system is completely secure, and you use our Services at your own risk.

9. Email Communications and Consent

By creating an account or using our Services, you acknowledge and agree to the following regarding email communications:

  • Transactional Emails: You consent to receive transactional emails necessary for the operation of your account, including account confirmations, password resets, billing receipts, subscription updates, and security notifications.
  • Service Updates: You consent to receive service-related communications including platform updates, feature announcements, scheduled maintenance notices, and policy changes that may affect your account.
  • Customer Support: You consent to receive email responses to your inquiries, support ticket updates, and follow-up communications related to your requests.

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access and may experience downtime for maintenance, updates, or unforeseen circumstances.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITIZE AGENCY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our Services will be error-free, secure, or uninterrupted. You use our Services at your own risk.

13. Indemnification

You agree to indemnify, defend, and hold harmless Digitize Agency LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your data or content submitted to our platform

14. Termination

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of subscription fees
  • Abuse of our Services or support team

Upon termination, your right to use our Services will immediately cease, and we may delete your account and data after a reasonable period.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms.
